These Terms of Use ("Terms") govern access to and use of the Motivision Gym and Motivision Exercise applications, the Motivision web dashboard, and related software, content, and services (collectively, the "Service") provided by Motivision Group Inc. ("Motivision," "we," "us," or "our").
By accessing or using the Service, you agree to these Terms. If you use the Service for a gym, school, team, training facility, employer, or other organization (an "Organization"), you represent that you are authorized to use the Service for that Organization and to accept these Terms as applicable to your use.
If an Organization has entered into a separate written agreement with Motivision, that agreement controls to the extent it conflicts with these Terms.
Motivision provides software for managing athletes, rosters, workouts, training activity, and exercise-performance information. Certain configurations use a device camera and computer-vision technology to generate measurements such as repetition count, velocity, tempo, displacement, and range of motion.
Features may vary by application, Organization, subscription, device, region, and configuration. Motivision may improve, replace, add, or remove features where reasonably necessary to maintain, secure, or develop the Service.
Coach, administrator, data-tagger, and other authenticated accounts are intended for adults authorized by an Organization or Motivision.
Athletes do not independently create Motivision accounts. An athlete may use an authorized device through a coach-issued access PIN. A minor may use the Service only under the authority and supervision of the applicable Organization and with required parental or guardian authorization.
The Service is not intended for individuals under 13. An Organization must not enter information about, or enable recording of, any individual under 13.
You may use the Service only:
Accounts are provisioned or administered by an Organization or Motivision. The Motivision Gym and Motivision Exercise applications do not provide self-service account registration.
You are responsible for:
You may not share authentication codes, impersonate another user, access another Organization's information, or attempt to bypass role, device, or security controls.
An Organization is responsible for promptly disabling or updating access when a user changes role, leaves the Organization, or no longer requires access.
Each Organization is responsible for:
An Organization must not authorize model-evaluation or model-improvement use unless its authorized signatory has executed the applicable data-collection agreement and all required athlete, parent, or guardian authorizations have been obtained.
These responsibilities allocate duties between Motivision and the Organization. They do not shift obligations that applicable law places directly on Motivision, and Motivision remains responsible for its own compliance. Where applicable law permits an Organization to authorize processing on behalf of a parent or guardian for the Organization's own educational or training purposes, that authorization does not extend to Motivision's separate commercial purposes, including model evaluation or improvement.
When camera-based analysis is enabled, the Service may capture and transmit video frames or clips to encrypted cloud storage. Saved video does not include audio.
Playable source video may identify the athlete or other people appearing in the recording. It remains personal information throughout its retention period. Access is limited by role to authorized internal Motivision personnel and is logged.

Normal use of camera-based analysis does not authorize Motivision to use a recording for model evaluation or improvement.
Motivision may select data for model evaluation or improvement only where the applicable Organization or another legally authorized contracting party has executed a data-collection agreement and required athlete, parent, or guardian authorization has been obtained.
Motivision may extract a pose-matrix timeline and remove the source recording and direct roster and account identifiers from the model-training dataset. Retained playable source video remains identifiable personal information until deleted.
An Organization may withdraw authorization for future model-improvement use by contacting support@motivision.us. Withdrawal does not invalidate processing completed before the request and may not allow information incorporated into a trained model to be isolated or removed.

The Service provides fitness, coaching, and athletic-performance information. It is not a medical device and does not provide medical diagnosis, treatment, rehabilitation advice, or emergency services.
Computer-vision and performance measurements are estimates. Results may be affected by camera placement, lighting, visibility, clothing, equipment, exercise technique, device performance, network conditions, and model limitations.
Users and Organizations remain responsible for exercise selection, supervision, equipment safety, loading decisions, and determining whether an athlete should participate. Stop the activity and seek appropriate professional assistance if an athlete experiences pain, dizziness, injury, or another concerning condition.
Do not rely on the Service as the sole basis for medical, safety-critical, eligibility, employment, insurance, or disciplinary decisions.
As between Motivision and the Organization, the Organization retains its rights in roster, workout, video, and other information it submits or controls ("Organization Data").
The Organization grants Motivision a limited right to host, process, transmit, reproduce, and display Organization Data only as necessary to provide, secure, support, and administer the Service, comply with law, and perform separately authorized model-evaluation or improvement activities.
The Organization represents that it has the rights and authorizations necessary for Motivision to process Organization Data as described in these Terms, the Privacy Policy, and any applicable agreement.
Motivision may use aggregated or de-identified information that does not identify an individual or Organization to operate, secure, evaluate, and improve the Service, subject to applicable law.
The Service, including its software, interfaces, documentation, designs, workflows, computer-vision systems, models, algorithms, and other technology, is owned by Motivision or its licensors and is protected by intellectual-property law.
Subject to these Terms and any applicable Organization agreement, Motivision grants authorized users a limited, non-exclusive, non-transferable, revocable right to use the Service for the applicable Organization's internal authorized purposes.
No rights are granted except those expressly stated.
If you provide suggestions or feedback, Motivision may use them without restriction or payment, provided that this does not grant Motivision additional rights in Organization Data or personal information.
The Service relies on third-party infrastructure and communication providers. Their services may be subject to separate terms and may experience interruptions outside Motivision's control.
Links to third-party services do not constitute endorsement. You are responsible for complying with any third-party terms that apply to your use.
Organization subscriptions, fees, payment terms, renewals, taxes, and cancellation rights are governed by the applicable order form, subscription agreement, or other written agreement between Motivision and the Organization.
The applications do not independently create a consumer subscription merely because an authorized user signs in or an athlete uses a coach-issued PIN.
Failure to pay amounts due may result in suspension or termination of Organization access in accordance with the applicable agreement.
Motivision may restrict or suspend access where reasonably necessary to:
Where practicable, Motivision will notify the Organization and provide an opportunity to address the issue.
An account holder may initiate deletion of an individual account through Request Account Deletion in the application's Settings. An Organization may request closure of its account according to its agreement with Motivision.
Termination does not affect provisions that by their nature should survive, including ownership, payment obligations, restrictions, disclaimers, limitation of liability, and dispute provisions.
Motivision's collection and use of personal information is described in the Privacy Policy (https://motivision.ai/privacy).
Organizations remain responsible for their own privacy notices, consents, data-governance decisions, and responses to requests concerning Organization-controlled information.
Motivision may perform maintenance, apply updates, and modify the Service. We do not guarantee that the Service will always be available, uninterrupted, error-free, or compatible with every device, network, exercise, camera position, or environment.
Any service-level commitment must be stated in a separate written agreement signed by Motivision.
To the maximum extent permitted by law, and except for warranties expressly stated in a separate written agreement, the Service is provided "as is" and "as available."
Motivision disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.
Motivision does not warrant that measurements will be exact, that every repetition or movement will be detected, or that the Service will prevent injury, misuse, data loss, or unauthorized conduct.
Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
To the maximum extent permitted by law, Motivision and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, data, or use, arising from or related to the Service.
Except for liability that cannot legally be limited and unless a separate written agreement states otherwise, Motivision's aggregate liability arising from or related to the Service will not exceed the amounts paid to Motivision by the applicable Organization for the Service during the twelve months preceding the event giving rise to the claim.
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose.
To the extent permitted by law, an Organization will defend and indemnify Motivision and its affiliates, officers, employees, and contractors against third-party claims, losses, liabilities, damages, and reasonable costs arising from:
This section does not apply to the extent a claim was caused by Motivision's breach, negligence, willful misconduct, or unlawful conduct.
The governing law, venue, and dispute procedure stated in the applicable Organization agreement control.
If no Organization agreement applies, these Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute must be brought exclusively in the state or federal courts located in Travis County, Texas, and the parties consent to the jurisdiction of those courts, unless applicable law requires another forum.
Before filing a claim, the parties will attempt in good faith to resolve the dispute by written notice and discussion for at least 30 days, except where immediate injunctive or emergency relief is reasonably necessary.
Motivision may update these Terms to reflect changes to the Service, business practices, or law. If a material change affects existing users, Motivision will provide notice through the Service, by email, or through the applicable Organization where required.
Continued use after the effective date of updated Terms constitutes acceptance where permitted by law. If an Organization does not accept a material change, it may stop using the Service and exercise any termination rights under its agreement.
If a provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue in effect.
Failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without Motivision's written consent. Motivision may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
These Terms, the Privacy Policy, and any applicable Organization agreement constitute the complete agreement governing the relevant use of the Service.
